ARTICLE 1 - NAME
This Local shall be known as Local 2203, Communications Workers of America.
ARTICLE 2 - JURISDICTION
Jurisdiction of this Local shall be assigned by the Union and appearing on the face of the Local Charter.
ARTICLE III - OBJECTS
The objects of Local 2203 shall be to represent and serve the workers within its jurisdiction in accordance with the Bylaws and Rules of the Local and the Constitution and policies of the Union.
ARTICLE IV - LOCAL STRUCTURE
The structure of the Local shall consist of the following:

(2)Executive Board (4)Committees
ARTICLE V - MEMBERSHIP
Section 1 - Eligibility
Any person eligible for membership in the Communications Workers of America, as defined in Article V, Section 1 of ists Constitution, shall be eligible for membership in this Local, if performing work within the Local's assigned jurisdiction, or if employed on a part-time or full-time basis by the Union.
Section 2 - Application
Membership in the Local shall be obtained after payment of the Local's initiation fee not to exceed the amount as outlined in Article V, Section 2(b) of the CWA Constitution, and upon the approval fo the membership committee authorized to accept or reject membership in behalf of the Local, subject to the right of the Executive Board to overrule the decision of the membership committee.
Section 3 - Transfers
The transfer of membership from this Local to the jurisdiction of another Local and from another Local to the Jurisdiction of this Local shall be made in accordance with Article V of the Union Constitution.
ARTICLE VI - LOCAL DUES, FINES AND ASSESSMENTS
Section 1 - Local Dues
A. Each member of the Local shall pay membership dues in the amount to be established by the Local. The established dues my be changed by a majority referendum vote on the proposal, using secret ballots with postage prepaid, return self-address envelopes, or by a majority secret ballot vote in a meeting where a quorum is present, if the question has been advertised for at least seven (7) days in advance of the meeting, or by notice mailed prepaid to each memeber at least seven (7) days in advance of the meeting.
B.Local established dues will be increased by the same amount as the per capita dues of the International Union on a weekly basis in a given year when the International Union receives an increase. In the event there is no per capita increase by the international union, there would be no increase by the Local in that given year.
Section 2 - Local Special Assessment
The membership of this Local may levy a special assessment in the same manner as provided for changing Local dues. However, any special assessment levied shall be in compliance with Article VI, Section 3 of the Union Constitution.
ARTICLE VII - GOVERNING AUTHORITY
Section 1 - Membership
The affairs of the Local shall be governed by its membership in accordance with the Constitution and policies of the Union in the following manner:
A. By the membership through its right of referendum.
B. Through the actions and decision of the Executive Board between membership meetings.
C. Through actions and decisions of Local Officers between the meetins of the Executive Board.
D. Actions and decisions of the Executive Board and officers of the Local may be overruled by the membership through referendum.
Section 2 - Executive Board
The Executive Board shall consist of the following:
The Local President
The Local Eecutive Vice President
The Local Executive Secretary-Treasurer
Area Vice Presidents
ATTIS - One, Danville - One, Lynchburg - One, Staunton - One
An Asstitant to each Area Vice President will be elected, but will have no function on the Executive Board unless he is acting in the absence of the Area Vice President.
ARTICLE VIII - LOCAL MEETINGS
Section 1 - Membership Meetings
Regular meetngs of the Local shall be held at least three times per calendar year. Specail meetins may be called by a majority of Local Officers, or by petition signed by 10% of the members within a Group Area. Upon receipt of a proper petition the Local Officers shall call a special meeting within ten (10) days.
Section2 - Executive Board Meetings
The Local Executive Board shall meet at least three times per calendar year or at the call of the Local President.
Sectin 3 - Job Steward Meetings
Each Area Vice President shall hold monthly meetings with their Chief Job Stewards and Job Stewards. They shall esablish time and place and give proper notice. A faithful record of the meetings shall be kept and filed with the Local Office.
ARTICLE IX - LOCAL DELEGATES TO INTERNATIONAL CONVENTION
A. Delegates and Alternate Delegates to the Union Convention elects to by the membership voting by secret ballot conducted not less than 30 days in advance of the Union Convention.
B. In the event the Local selects to send more than one delegate to the Union Convention, the Local shall determine Convention votes assigned to each delegate in accordance with Article VIII of the Union Convention.
C. It shall be the duty of the Secretary-Treasurer (or Secretary) of the Local to certify the local delegates to the Union Convention to the Secretary-Treasurer of Union within the time limits specified in Article VIII of the Union Constitution.
D. The nomination of the person for the office of President or Executive Vice President shall also constitute the nomination of the same persons as delegates to the CWA Convention held during the term of offices for which the election is being conducted.
E. A vote cast for the office of the President shall also constitute a vote for such candidate to serve as Chairman of the delegation to the Union Convention. A vote cast for the office of Executive Vice President shall also constitue a vote for such candidate to serve as delegate to the Union Convention. This applies to the Union Conventions held during the term of office for which the election is being conducted. In the event such candidate is elected President or Executive Vice President.
F. The Finance Committee and Executive Board shall determine the number of Delegates the Local will send to the Union Convention.
ARTICLE X - LOCAL COMMITTEES
A. The Local shall consist of the following regular committees:
1. Education Committee
2. Election Committee
3. Organizing Committee
4. Legislative Committee
5. Membership Committee or Committees
6. Community Services Committee
7. Finance Committee
8. Bylaws Committee
B. Members of all committess shall be appointed by the Local President, subject to the right of the Local Executive Board to overrule such appointments.
C. Vacancies on committees shall be filled in the same manner as the original appointments.
D. A member of any local committee may be removed by the Local President subject to the right of the Local Executive Board to overrule the action of the Local President.
E. Duties of Committees:
1. Education Committee - The Education Committee shall assist in developing the Local's educational program and with the Local officers be responsible for effectuating the Union's and Local's educational programs.
2. Election Committee - The Election Committee shall conduct all nominations and elections and referenda of this Local.
3. Organizing Committee - The Organizing Committee shall assist the Local Officers and members in organizing all non-Union employees within the Local's jurisdiction.
4. Legislative Committee - The Legislative Committee shall assist in developing and pursuing the program of the Union and the Local in the Legislative field. It shall be responsible for the Local's program to register each qualified voter.
5. Membership Committee or Committees - The Membership Committee or Committees shall accept or reject membership applications in accordance with the Bylaws and Rules of the this Local in Article V of the CWA Constitution and policies of the Union.
6. Community Services Committee
(a). Shall assist in developing all Community Service Programs.
(b). Shall in case of strike work with the Local Secretary-Treasurer to administer the Defense Funds.
7. Finance Committee - The Finance Committee shall meet at the call of the Local President or the Executive Board for the purpose of reviewing the finances of the Local.
(a). The Finance Committee will make recommendations to the Local President and the Executive Board as to what financial matters it feels justified and in the best interest of the Local.
(b). All recommendations of the Finance Committee will be taken under advisement of the Executive Board for consideration.
8. Bylaws Committee - The Bylaws Committee shall meet at the call of the President or Executive Board for the purpose of reviewing and proposing changes for the Local Bylaws.
(a) The Bylaws Committee will make recommendations to the Local President and the Executive Board as to what changes they feel would be in the best interest of the Local.
ARTICLE XI - ORDER OF BUSINESS
A . The order of business at Local meetings shall be as follows:
1 . Call to Order.
2 . Reading and action on minutes of previous meetings.
3. Report of Officers .
4. Report of Committees.
5. Unfinished business .
6 . New Business.
7 . Good and Welfare.
8 . Adjournment.
B. The order of business may be suspended by a two-thirds (2/3) vote of the members present .
ARTICLE XII - DUTIES OF THE LOCAL OFFICERS, AREA VICE PRESIDENTS, ASSISTANT AREA VICE PRESIDENTS, CHIEF JOB STEWARDS, AND JOB STEWARDS
Section 1 - Local Officers
A . The Local Officer shall be:
1 . Local President
2 . Local Executive Vice President
3. Local Secretary-Treasurer
B . The duties of the Local Officers shall be as follows:
1. The Local President shall :
(a) Be responsible for the conduct of all Local business.
(b) Preside at Local Membership, Local Board, and Local Officers' meetings.
(c) Prosecute grievances and appeal them to higher levels of the Union when not satisfactorily settled.
(d) Supervise all Local committees .
(e) Approve all bills to be paid.
(f) Be chairman of Local delegation to the C.W.A. Convention and any other meetings.
(g) Perform whatever additional duties as may be assigned by the Local or required by the policies or Constitution of the Union.
2. The Local Executive Vice President shall:
(a) Work under the direction of the Local President; and
(b) Perform whatever duties as may be assigned by the Local, the Local Executive Board, or the Local President .
3 . The Local Secretary-Treasurer shall:
(a) Maintain a record of the Local Membership.
(b) Record and maintain the minutes of all meetings of the Local, the Local Executive Board, or Local Officers .
(c) Furnish the District Vice president and the Secretary. Treasurer of the Union with copies of any changes in these Bylaws within ten (10) days after such change or changes are made .
(d) Be custodian of all assets of the Local .
(e) Report to each membership meeting on the financial status of the Local .
(f) Be bonded, a s must any other person who handles Local funds or other property, in accordance with the Union Constitution or any State of Federal law.
(g) Cause the payment of all bills approved by the Local President .
(h) Work with the Community Services Committee if it is called on to administer the Defense Fund in case of a strike .
(I) Work with the Finance Committee and furnish it with all records it requires to research the Local's finances as set forth in Article X.
(j) Perform such other duties as may be assigned by the Local membership , or the Local Executive Board under the direction of the Local President.
4 . Active Retired members holding Local Office:
(a) Will fulfill the duties as described in Article XII, Section 1B .
(b) Additional duties and compensation will be set by the Finance Committee and the Executive Board.
SECTION 2 - AREA VICE PRESIDENT
The Area Vice President shall:
A . Be elected by the membership within his designated area.
B . Represent the workers within his area.
C . Supervise the negotiations of all grievances within his area. issues which are not settled to the satisfaction of the area shall be referred to the Local President for further consideration and appeals.
D. Provide a communication link between the membership and the Local Officers.
E . Perform such other duties as may be assigned by the membership, the Local Executive Board, and the Executive Vice President under the direction of the Local President.
Section 3 - Assistant to Area Vice President
The Assistant Area Vice President shall :
A . Be elected by the membership within his designated area.
B . Perform whatever duties as assigned by the Area Vice president or the Executive Board or the Local President.
C . In the event the Area Vice President is unable to perform the duties of office, the Assistant Vice president will assume the duties of the office.
D . Attend all meetings called by Area Vice President.
Se ction 4 - Chief Job Stewards
The Chief Job Stewards shall:
A. Supervise the negotiation and handling of all grievances within his location.
B. Appoint Job Stewards within his location.
C. Provide administrative backkup to the Area Vice President .
D . To be appointed by the Area Vice President.
Section 5 - Job Stewards
The Job Stewards shall:
A . Handle all grievances and gripes in his location after he has discussed the problem with his Chief Steward.
B . Assist the Chief Job Steward in any way he can.
C . Perform whatever duties as may be assigned by the Local Executive Board or the Local President.
ARTICLE XII - CONDUCT OF MEETINGS, QUORUM AND DUE NOTICE
A . Membership meetings and any other business of this Local shall be conducted under these Bylaws and rules of the Local and in conformity with the Union constitution. On questions where the Local Bylaws, the Local rules or the Union constitution do not clearly apply, Robert's Rules of Order shall govern.
B. The number constituting a quorum for local area meetings shall be 5% or seven (7) days notice . For business conducted as a result of Due Notice, those present at membership meetings shall constitute a quorum.
C. A majority of the officers or a majority of the members of a committee shall constitute a quorum for those bodies.
ARTICLE XIV· NOMINATION AND ELECTION OF LOCAL OFFICERS AND MEMBERS OF THE GOVERNING BOARD
Section 1 - Nominations
A. Local officers shall be nominated in the month of October of each election year by the membership at the October meeting .
B . Any candidate shall be afforded an opportunity to address the meetings of the Local upon notification of his candidacy for office prior to October first.
C. Other members of the Executive Board shall be nominated in October of each election year by the members of the area they represent at the October meeting.
D . Nominations shall be made from the floor at membership meetings. Nominations shall be made only with the approval of the nominee.
Section 2 - Elections
A . Elections of Local Officers shall be by secret ballot of the membership in the month of November of each election year.
B . Election of other representatives of the Executive Board shall be by secret ballot of the membership in the month of November of each election year.
Section 3 - Local Election Committee
A . The nomination and election of local Officers, members of the governing board, and delegates to the C.W.A. Convention shall be conducted under the supervision of the election committee. This committee shall have the authority and responsibility to see that nominations and elections are conducted in accordance with the Union Constituion, and these Bylaws, with reasonable opportunity for each member to nominate and vote for the candidate of his choice.
B . The election committee shall also conduct any referenda submitted to the membership.
C. A member shall not be permitted to serve on the election committee if he is a candidate for any office of the local or delegate to the C .W.A. Convention.
D. All questions conceming the conduct and challenges of elections shall be determined by the election committee,subject to the right of appeal to the governing board or membership of the Local .
SECTION 4 - GENERAL PROVISIONS
A . The nominee in any election receiving the majority of the votes shall be declared elected. If no one nominee has a majority on the first ballot, the vote shall be taken again and the two nominees having the greatest number of votes on the first ballot shall be nominees on the second ballot.
B . Only members of the Local in good standing and active (dues paying) retired members, shall be eligible to vote or hold office.
C . The term of office shall be for three (3) years.
D . The officers shall take office on January 1st follOWing the election.
E . If a candidate is running unopposed, it will not be necessary to mail out ballots and the sole candidate will be declared the winner by the Election Committee.
Section 5 - Vacancies
A . A vacancy in the office of the Local President shall be filled by the Local Executive Vice President.
B. Vacancies in other Local offices shall be filled either by appointment of the governing body of the Local, subject to the approval of the appointment by the Local membership within sixty (60) days, or by election in the same manner as that required by a regular election and within sixty (60) days as required by ARTICLE XV of the Union Constition.
C. Vacancies In t.he office of Area Vice President shall be filled by the Assistant Area Vice President . The calling, conduct and termination of strikes affecting t'his Local shall at all times be carried on in compliance with the rules prescribed by the Union and ARTICLE XVIII of its Constitution.
ARTICLE XV - STRIKES
The calling, conduct and termination of strikes affecting this Local shall at all times be carried on in compliance with the rules prescribed by the Union and Article XVIII of its Constitution.
ARTICLE XVI - CHARGES, TRIALS, AND APPEALS
Section 1 - Charges
Members of this Local may be fined, suspended or expelled, in the manner provided in these Bylaws, for any of the acts enumerated in ARTICLE XIX of the Union Constitution.
Se ction 2 - Trials
Any accused member , including officers, of this Local shall be tried under the provisions of ARTICLE XX of the Union constitution.
Section 3 - Appeals
A member or officer of this Local, upon being found guilty by a Local trial court may appeal as provided in ARTICLE XX of the Union Constitution .
Section 4 - Local Trial Court
A trial court of this Local shall be composed of from three (3) to seven (7) persons, who are members of this Local and not parties to the proceedings, and who shall be selected by the governing board of the Local .
ARTICLE XVII - RECALL OF LOCAL OFFICERS
Any elected officer of this Local may be recalled in accordance with the provisions of ARTICLE XXI and XXII of the Union Constitution .
ARTICLE XVIII - AMENDMENT TO LOCAL BYLAWS
Af ter adoption, these Bylaws may be amended by either of the follOWing methods:
A . Majority vote of the members present in a Local meeting, if the proposed amendment has been introduced at a previous membership meeting or has been advertised to the membership by use of Bulletin Boards or U.S. Mail postage prepaid at least seven (70 days in advance of the meeting; or
B. Referendum of the membership.
ARTICLE XIX - REFERENDUM OF THE LOCAL
A. The Local election committee shall submit any question to a referendum of the membership when directed to do so by action of a regular or special membership meeting.
B. Questions submitted to referendum shall be determined by a majority vote of those voting on the question.
ARTICLE XX - FISCAL YEAR AND AUDIT
A . The fiscal year of this Local shall be from October 1st of each year to, and including September 30th of the succeeding year.
B . The financial records of the Local shall be audited by a Certified Public Accountant, or by the Finance Committee at the end of each fiscal year. The result of such an audit shall be made available for the inspection of any member of the Local.
ARTICLE XXI - OATH OF OFFICE
E ach elected officer of the Local, after meeting all other qualifications, shall be duly installed upon taking the following oath:
"I (give name) hereby accept the office of (name of office) of Local 2203, Communications Workers of America, with full knowledge of the responsibilities and duties of such office. "I promise to faithfully discharge my duties accoding to theBylaws and rules of the Local and the Constitution and policies of the Union . "I further promise to give my successor in office all books and records in my ossession. I shall at all times endeavor to serve my Local and the Union to the best of my ability, so help me God."
ARTICLE XXII- DEFINITION
A. ATTIS shall consist of Danville, Chatham, Clover, Lynchburg, Bedford, Lovingston and Staunton.
Danville shall consist of Danville, Chatham and Clover Area.
Lynchburg shall consist of Lynchburg, Bedford and the Lovingston Area.
Staunton shall consist of Staunton Area.
ARTICLE XXIII - INTERPRETATION OF BYLAWS
Section 1 - The Local Executive Board shall have the right to interpret these Bylaws provided, however, that the membership may overrule the decision of the Local Executive Board by a majority of the membershp voting in a referendum.
ARTICLE XXIV - ADOPTION
These Bylaws shall be adopted upon the approval of a majority of the members voting upon their adoption in the membership meeting called for that purpose, or at the conclusion of a referendum.
